Shareholders are asked to approve the April 26, 2026 Merger Agreement among Organon & Co., Sun Pharmaceutical Holdings USA, Inc., and Sun Pharma America, Inc. Merger Sub will merge into Organon, which will survive as a wholly owned subsidiary of Sun Pharma USA. Sun Pharmaceutical Industries Limited, Sun Pharma Canada Inc., and Sun Pharma (Netherlands) B.V. are parties to certain provisions. The full agreement is included as Annex A to the proxy statement. |
